1. Introduction Welcome to Quick Office Pointe! These Terms and Conditions govern your use of our website and services. By accessing or using any part of our website or services, you agree to be bound by these terms. If you do not agree to these terms, you may not access the website or use any services. 2. Definitions "We", "Us", "Company": Refers to QuickOfficePointe. "Client", "You": Refers to any user, client, or customer engaging with Quick Office Pointe’s services or website. "Services": Refers to the software development, consulting, and related services provided by Quick Office Pointe. 3. Services Overview Quick Office Pointe provides custom software development services, including but not limited to: a). Web and mobile application development b). HR and payroll management systems c). Business automation software

d). Learning Management Systems (lms)

e). Point of Sales (pos)

f). Poetry Management system (pms) g). Technical support and maintenance services Our services are provided based on client requirements as outlined in project agreements or contracts. 4. Service Agreement Upon engaging with QuickOfficePointe for services, you will enter into a specific Service Agreement, which outlines the scope of the work, deliverables, timelines, and payment terms. The terms in the Service Agreement take precedence over any conflicting terms in these Terms and Conditions. 5. Intellectual Property Ownership: All intellectual property rights in software, documentation, and other deliverables created by Quick Office Pointe during a project shall remain the property of Quick Office Pointe unless otherwise agreed in writing. Client Usage Rights: Upon final payment, the client is granted a non-exclusive, non-transferable license to use the deliverables for their business purposes. The client may not resell or distribute the deliverables without prior written consent from Quick Office Pointe. 6. Payment Terms Invoices: Clients will receive invoices as outlined in the Service Agreement. Payment terms are specified in the contract and are typically due within 30 days of receipt unless otherwise agreed. Late Payments: Invoices not paid on time may incur late fees or interest at a rate specified in the Service Agreement. Project Suspension: Quick Office Pointe reserves the right to suspend work if payment is delayed beyond 30 days without prior arrangement. 7. Confidentiality Mutual Confidentiality: Both parties agree to keep confidential all proprietary information exchanged during the project. This includes, but is not limited to, business processes, trade secrets, software designs, and other sensitive information. Non-Disclosure: Both parties shall not disclose any confidential information to third parties without the prior written consent of the other party. 8. Client Responsibilities a). Accurate Information: The client agrees to provide accurate and up-to-date information required for the successful completion of the project. b). Timely Feedback: The client agrees to respond to requests for feedback and information in a timely manner. Delays in client responses may affect project timelines. c). Data and Content: The client is responsible for providing any data, content, or materials necessary for the project. Quick Office Pointe is not liable for any delays caused by a failure to provide such materials. 9. Warranty and Liability Limited Warranty: Quick Office Pointe warrants that the software provided will perform substantially in accordance with the specifications agreed upon in the Service Agreement. However, we do not guarantee that the software will be error-free or uninterrupted. Limitation of Liability: In no event shall Quick Office Pointe be liable for indirect, incidental, or consequential damages arising out of or in connection with the services provided. 10. Termination of Services Termination by Client: The client may terminate the project at any time by providing written notice to Quick Office Pointe. Any work completed up to the termination point will be invoiced, and the client will be required to pay for services rendered. Termination by Quick Office Pointe: Quick Office Pointe may terminate the project or services if the client fails to comply with these terms, including non-payment or breach of confidentiality. Refunds: Any refunds will be subject to the specific terms outlined in the Service Agreement. Generally, payments for work already completed are non-refundable. 11. Support and Maintenance Quick Office Pointe offers support and maintenance services as outlined in individual contracts. Any ongoing support outside the scope of the initial agreement may incur additional fees. 12. Changes to Terms Quick Office Pointe reserves the right to modify these Terms and Conditions at any time. Clients will be notified of any significant changes, and continued use of services after such changes will constitute acceptance of the updated terms. 13. Governing Law These Terms and Conditions shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Kenya. 14. Dispute Resolution In the event of a dispute between the client and Quick Office Pointe, both parties agree to attempt to resolve the dispute through good-faith negotiations. If a resolution cannot be reached, the parties may pursue arbitration or legal action in accordance with the governing law. 15.
